All businesses should have the following documents in a corporate kit. This is merely a collection of documents held together in a looseleaf notebook or in a more formal corporate document holder, available from a supplier of law products.

The following should be included in the corporate kit:

  • Articles of incorporation;
  • Amendments to the articles of incorporation;
  • Minutes of the stockholders' and board of directors' meetings;
  • Bylaws of the corporation;
  • List of the corporation's shareholders;
  • Corporate secretary's affidavit of verification of corporate shares of stock;
  • All directors' resolutions;
  • All stockholders" resolutions;
  • Record of dividends;
  • Outstanding loans;
  • Contracts;
  • Ledgers including accounts receivable, accounts payable, and general inventory;
  • Insurance policies;
  • Resolutions regarding salaries and bonuses of top executives;
  • Employment contracts and agreements;Stock option plans;
  • Medical-dental expense plans;
  • Verification of citizenship or right to work according to the Immigration and Reform Control Act (IRCA) of 1986.
